Post Sarbanes-Oxley Lecture To Be Held Nov. 9

“Advising Corporate Officers and Directors Post Sarbanes-Oxley” will be the topic of a guest lecture to be given by John P. Beavers on Tuesday, Nov. 9, 2004 from 3:30 – 5:00 pm in room 572 of the Law School. The lecture is being given as part of the seminar class, “Selected Issues in Corporate Governance,” taught by Professor of Law Regina Burch. The lecture is co-sponsored by the Corporate and Business Law Association. Everyone is welcome to attend.

Beavers is a partner with the law firm Bricker & Eckler LLP. Past chair of the firm’s corporate department, he represents clients in corporate and securities law, executive compensation, partnership law and taxation, ERISA and employee benefit law. His practice in these areas includes handling public and exempt securities offerings under state and federal securities laws; preparing boards and executives for the post-Sarbanes-Oxley environment; designing and negotiating executive compensation programs of all kinds; and forming and structuring business entities and associations. Beavers also heads Bricker & Eckler’s board and executive initiative practice group. His practice includes compensation and benefit planning for boards and executives; governing board and executive officer governance, structure and organization; corporate structure and organization; and public reporting and disclosure responsibilities of boards and executives. He serves as editor of the web site BoardandExecutive.net and the newsletter Acredula, both of which provide information of interest to governing boards and executive officers. He also writes a boards and executives column for Business First, a publication of American City Business Journals.

Mr. Beavers will speak on what directors and management should know about their risk of liability, what the Securities and Exchange Commission expects of directors, and steps directors and management can take to reduce their risk of liability. He also will address new relationships among auditors, directors and executives, and how corporations are responding to the requirements of Sarbanes-Oxley.
